Seller Agreement
Version 1 · published Oct 8, 2026
This Seller Agreement is between LT Liquidations LLC, operator of Two Bro Sales (the "Platform"), and the business opening a storefront (the "Seller"). It governs every auction the Seller runs on the Platform, together with the Terms of Use and the Privacy Policy.
1. Eligibility and the right to sell
The Seller warrants that it is a lawfully operating business, holds any licence required to conduct auctions where its goods are located, and has good title to, or written authority to sell, every lot it lists. The Seller must supply its legal name, address, contact details and, where applicable, its auctioneer licence number before its storefront is approved.
2. Proof of source
On request, the Seller must produce proof of source for any lot within two business days: a bill of sale, a load manifest from the originating retailer or liquidator, or an equivalent document. A lot for which proof cannot be produced may be withdrawn, and repeated failures are grounds for termination.
3. Listings and manifests
- Every listing must state the load type, the pallet or unit count, the condition code and, where one exists, the manifest retail value.
- A manifest uploaded to a listing must be the manifest for that lot. Substituting a representative or sample manifest is prohibited.
- A lot marked "manifested" must match its manifest within normal variance (5% of manifest retail). Shortages beyond that are claimable by the buyer under the Bidder Terms.
- Photographs must be of the actual lot. Stock photography and photographs of other lots are prohibited.
- A lot may be labelled "absolute" or "no reserve" only when it carries no reserve.
4. Condition codes
The Seller must use the Platform's condition codes (New, Like new, Customer returns, Shelf pulls, Salvage, Mixed) accurately. A lot that contains a material share of units from a worse category must be coded as the worse category or as Mixed with an explanation.
5. Recall attestation
For every lot containing consumer products the Seller attests that it has checked the manifest against the U.S. Consumer Product Safety Commission recall database and removed any recalled unit. The attestation is recorded on the manifest and may be relied upon by buyers and by the Platform.
6. Prohibited items
The following may not be listed:
- Recalled products.
- Hazardous materials, including compressed gases, flammables, corrosives and lithium batteries outside the original product packaging.
- Alcohol, tobacco, nicotine and vape products.
- Firearms, ammunition, firearm parts and weapons.
- Drugs, controlled substances, prescription medicines and medical devices requiring a prescription.
- Counterfeit goods and brand-name goods the Seller is not authorised to resell.
- Any item that requires a licence to resell which the buyer population cannot be assumed to hold.
- Stolen goods and goods subject to a lien.
The Platform may withdraw any listing at its discretion and will withdraw a listing that breaches this section without notice.
7. Naming a source retailer
The Seller may name the retailer a load came from only where the Seller's own supply agreement permits it. Where it does not, the Seller must describe the source generically ("big-box general merchandise"). The Seller indemnifies the Platform against claims arising from a source it chose to name.
8. No bidding on own lots
The Seller, its owners, its staff and any account linked to them by ownership, address, payment method or device may not bid on the Seller's lots, directly or through another buyer. The Platform's engine refuses such bids where it can detect them; those it cannot detect are a breach of this agreement and grounds for immediate termination and forfeiture of pending payouts.
9. Fees
- The Platform charges the Seller 2% of the hammer price of each sold lot, capped at $500 per lot.
- There are no listing fees, setup fees, subscription fees or per-bid fees.
- Payment processing costs are passed through at cost and shown on the Seller's statement.
- The Platform may waive the Seller fee for a stated period for founding sellers; the waiver end date is shown in the Seller's dashboard.
- Buyers introduced by the Platform pay a separate buyer fee to the Platform; buyers the Seller introduced pay none. The Seller has no claim to either.
10. Payment and payout hold
The Platform collects payment from the buyer. The Seller's net proceeds (hammer price less the Seller fee and any processing cost) are held until the buyer has collected the lot. For sellers the Platform has marked trusted, the payout is released when pickup is confirmed. For all other sellers the payout is released 48 hours after pickup is confirmed, to allow for claims. Upheld claims are deducted from the payout. A buyer's non-payment results in no payout; the Seller may relist the lot or offer it to the next bidder.
11. Pickup obligations
The Seller must stage sold lots at the stated pickup location during the stated window and hours, verify the buyer's pickup code and the identity of the person collecting, obtain a signature, and record the release on the Platform the same day. Lots must be released only against a valid pickup code. The Seller is responsible for loss or damage to a lot between the close and the release.
12. Claims
The Seller must respond to a claim through the Platform within two business days. The Platform decides claims under the Bidder Terms and its decision binds the Seller. Where a claim is upheld or partially upheld the refund is deducted from the Seller's payout for that order or, if already paid, from the next payout or invoiced to the Seller. The Seller's manifest accuracy score is published on its storefront and is calculated from resolved claims.
13. Platform neutrality
LT Liquidations LLC does not buy or sell inventory on the Platform, does not bid on any lot, and does not operate a storefront. The Platform does not favour any seller in search, placement or buyer introductions beyond objective criteria (closing time, category, location and performance).
14. Records and licence display
The Seller must keep records of every sale made through the Platform, including the manifest, proof of source, the buyer's identity and the pickup record, for seven years, and must produce them to the Platform or to a regulator on request. Where the Seller holds an auctioneer licence, the licence number is displayed on the Seller's storefront and on every auction page.
15. Termination
Either party may end this agreement on written notice. Auctions already scheduled may be completed or cancelled at the Platform's discretion. The Platform may suspend or terminate the Seller immediately for breach of sections 1, 3, 5, 6 or 8, for a pattern of upheld claims, or for conduct that in the Platform's judgement harms buyers or the Platform. Sections 10, 12, 14 and 16 survive termination.
16. Governing law
This agreement is governed by the laws of the State of Georgia and any dispute will be heard in the state or federal courts sitting in Fulton County, Georgia.
