Bidder Terms
Version 1 · published Oct 8, 2026
These terms govern every bid and purchase on Two Bro Sales (the "Platform"), operated by LT Liquidations LLC of Atlanta, Georgia, together with the Terms of Use, the Privacy Policy and each auction's own terms.
1. Who may bid
The Platform is a wholesale venue open only to businesses that buy for resale. To register you must give us your business's legal name and address, a contact person, your business type and a current resale certificate issued by your state. We review every application by hand; until your business and a certificate are approved you may watch lots but not bid.
- One account per business; shared logins and bidding through another registrant's account are prohibited.
- You are responsible for everyone who uses your account and every bid placed from it.
- We may decline an application, set a bidding tier and exposure limit, or suspend an account at any time.
2. Every bid is binding
A bid is an irrevocable offer to buy the lot at the price it produces under these terms. Bids cannot be retracted, lowered or cancelled once placed, for any reason, including a typing error. Check the lot number, quantity, condition code and your maximum before you confirm. If you lead when the lot closes, or you use a lot's Buy Now price, a contract of sale is formed and you must pay.
3. Proxy bidding
You enter the most you are willing to pay. The Platform bids for you only as much as is needed to keep you in the lead, by the published increment, up to your maximum. Your maximum is never shown to the seller, other bidders or Platform staff. When two maximums are equal the earlier bid wins. If a lot carries a reserve and your maximum meets it, the price moves to the reserve. Raising your own maximum while you lead does not change the price.
4. Soft close
Every lot has a scheduled close. If a bid that changes the price or the leader arrives within the extension window (normally the final two minutes), the close moves out by the extension length (normally two minutes), repeating until the window passes without a change. The Platform's database clock is the only clock that counts; your browser's countdown is an estimate.
5. Condition of goods — AS-IS, WHERE-IS
ALL LOTS ARE SOLD "AS IS, WHERE IS" AND "WITH ALL FAULTS". NEITHER THE SELLER NOR THE PLATFORM MAKES ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUANTITY, CONDITION, OR CONFORMITY TO ANY DESCRIPTION, PHOTOGRAPH OR MANIFEST, EXCEPT AS EXPRESSLY PROVIDED IN SECTION 9 (CLAIMS). ALL SUCH WARRANTIES ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.
Manifests, photographs and descriptions are supplied by the seller as a convenience. A condition code describes a category, not individual units: a lot of customer returns will contain incomplete, damaged or non-working units. Inspect the lot before bidding where a preview is offered.
6. Payment
- Payment is due in full within 2 business days of the close; the due date is shown on your invoice.
- Accepted methods are bank transfer or ACH, and card for invoice totals of $2,500 or less. Larger invoices must be paid by bank transfer or ACH.
- Processing costs, where charged, are passed through at cost and shown before you pay.
- Title passes when payment has cleared and the lot is released to you at pickup.
7. Non-payment
If an invoice is not paid in full by its due date:
- A non-payment fee is charged equal to the greater of $100 or 10% of the hammer price, and a strike is recorded against your business. Two strikes within twelve months suspend your account.
- The seller may offer the lot to the next highest bidder or relist it. You remain liable for the fee and any shortfall between your bid and the price the lot later brings.
- Where you have a card on file and the law permits, we may charge the fee to that card.
8. Pickup
- Collect the lot within the auction's pickup window, at the stated location and hours. Bring the pickup code shown on your order; the person collecting must show identification and sign for the lot, and may be photographed with the load.
- You arrange and pay for transport, labour and equipment unless the listing says otherwise.
- After the window the seller may charge storage at the listed rate or, if none, $25 per pallet per day. A lot uncollected 14 days after the window may be treated as abandoned: the seller may resell or dispose of it and you forfeit the amount paid, less any net resale proceeds.
9. Claims
- Claims may be made only on manifested lots, within 48 hours of pickup, through the order page on the Platform, with photographs.
- Grounds are a shortage against the manifest, release of the wrong lot, or a condition materially different from the stated code.
- A shortage under 5% of manifest retail value is normal variance and is not claimable.
- The only remedy is a pro-rata refund of the hammer price calculated on manifest retail value. No consequential damages are recoverable. The Platform's determination is final.
- No claim may be made on an unmanifested lot.
10. Buyer fee
A buyer fee of 5% of the hammer price, capped at $500 per lot, applies only when the Platform introduced you to the seller. If you reached the Platform through a seller's own invitation you pay no buyer fee on that seller's lots. Any fee is shown on the invoice before you pay.
11. Sales tax
By registering you certify that you purchase for resale in the ordinary course of business and that your certificate is valid and current. You are responsible for tax on goods you do not resell. Bidding is suspended while your certificate is expired.
12. Prohibited conduct
- Shill bidding, bidding to inflate a price, or bidding on a lot that you, your staff or an affiliate are selling.
- Operating more than one account, sharing an account, or bidding for a suspended business.
- Scraping, automated bidding, interfering with the Platform, or agreeing with other bidders not to bid.
- Abuse of sellers, their staff or Platform staff.
On a breach we may cancel bids, void sales, suspend the account, retain fees and report you to law enforcement.
13. The Platform's role
The seller named on the listing is the seller of record. The Platform operates the venue, verifies registrants, collects payment and holds seller funds until pickup; subject to counsel's licensing review, it is not a party to the sale.
14. Changes and governing law
These terms are governed by the laws of the State of Georgia, and any dispute will be heard in the state or federal courts sitting in Fulton County, Georgia. We may update these terms; the version is shown at the top and a bid placed after a new version takes effect accepts it.
